These Terms of Service ("Terms") govern your use of the Twelve Tribe website and any services provided by Twelve Tribe ("we," "us," "our") to you ("Client"). By engaging our services or making a payment, you agree to these Terms.
1. Services
We provide digital advertising management, web development, branding, social media management, and content creation, including video production, photography, and video editing. The scope, deliverables, and timelines for each engagement are set out in a written proposal, statement of work, or invoice ("Agreement").
2. Pricing & Payment
- All pricing is negotiated individually and confirmed in your Agreement.
- Payments are processed through private, secure Stripe checkout links or subscriptions issued to each Client.
- Digital advertising: recurring monthly billing may include both your ad spend budget and our management fee. Ad spend is passed through to advertising platforms and is non-recoverable once spent.
- Social media management and content packages: billed on a recurring basis until cancelled as described in your Agreement.
- Web development, branding, and production projects: billed per project, which may include deposits or milestone payments.
- Late or failed payments may result in paused work, paused campaigns, or suspended services.
3. Client Responsibilities
Client agrees to provide timely access to accounts, assets, approvals, and information needed to perform the services. Delays caused by Client may affect timelines and do not relieve payment obligations.
4. Results Disclaimer
Past results, including revenue or ROAS achieved for other clients, do not guarantee future performance. Advertising results depend on many factors outside our control, including platform algorithms, market conditions, product, pricing, and offer.
5. Intellectual Property
Once full payment is received, Client owns the final deliverables created specifically for Client. We keep ownership of our pre-existing tools, templates, methods, and raw or unused footage unless the Agreement says otherwise. We may show completed work in our portfolio unless Client requests otherwise in writing.
6. Third-Party Platforms
We are not responsible for the policies, outages, account suspensions, or ad rejections of third-party platforms such as Meta, Google, TikTok, Shopify, or Stripe.
7. Cancellation
Recurring services may be cancelled with written notice as set out in your Agreement (default: 30 days). Fees for work already performed and ad spend already committed remain due. See our Refund Policy.
8. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim will not exceed the fees paid by Client to Twelve Tribe for the specific service in the three (3) months before the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement.
10. Changes
We may update these Terms from time to time. Continued use of our services means you accept the updated Terms.
